The Streaming Giant Emerges as Top Contender in Major Hollywood Studio Entertainment Assets Sale

High-stakes talks are now underway between Warner Bros Discovery and Netflix for a blockbuster acquisition of its core studio and streaming operations, a move that could profoundly reshape the entertainment industry landscape.

An Intense Bidding War

Netflix is said to be competing against other major players like Paramount Skydance and the cable giant, which owns Universal Studios and Sky, for control of the legendary Hollywood institution, the premium HBO network, and the HBO Max streaming platform.

Sources indicate the company has proposed a substantial breakup fee of $5 billion if the acquisition not obtain antitrust approval in the US.

The Financial Details

With Warner Bros Discovery shares sitting around approximately $24 per share, its overall market cap is estimated at roughly $60 billion. Reports suggest Netflix's offer ranges from $28 to $30 per share, which suggests a total bid value in the neighborhood of $70 billion to $75 billion.

Analysts have warned that this consolidation could raise significant antitrust concerns, as it would combine two of the largest streaming services in the American market.

Commitments and Corporate Restructuring

In its proposal, Netflix has provided guarantees that the legendary movie lot, home to major franchises like Harry Potter and Batman, would continue to enjoy wide theatrical releases.

Prior to any potential deal closing, Warner Bros Discovery is planning to finalize a pre-arranged separation of its linear TV networks, which include CNN, TBS, and TNT.

A Content Powerhouse

Should the deal proceed, Netflix would gain ownership of HBO, creator of critically acclaimed hits including Game of Thrones, Succession, The Sopranos, and The White Lotus, along with an vast archive of classic television.

The studio formally initiated its auction in October after attracting overtures by multiple suitors.

Industry Concerns

The potential sale has sparked controversy. Acclaimed filmmaker James Cameron, director of the Avatar and Terminator franchises, recently warned that a Netflix acquisition could lead to a "significant erosion of long-term value" for the broader entertainment industry.

At first, Paramount Skydance had been considered the leading candidate. The company had also offered a $5 billion breakup fee if regulatory hurdles.

Allegations of an Unfair Process

Recently, the rival bidder contended formally that its bid was the one most poised to gain regulatory clearance. Furthermore, the studio alleged the seller of conducting an "unfair auction process" that favored its competitor, calling it "compromised" in legal correspondence.

Representatives for all companies involved refused to comment on the current talks.
